SmartyX — Terms of Service

These Terms of Service govern the SmartyX website, fixed packages, bespoke quotes, managed services and related digital work. By placing an order, accepting a quote or using the services, you agree to these terms.

1. Services and recorded scope

SmartyX provides website design, hosting, maintenance, search-engine optimisation and related digital services. The scope, price and renewal schedule for a fixed package are the details shown on its product page and at checkout, together with the dated scope and commercial snapshot stored on the order. Bespoke work is governed by the accepted written quote and its order.

Work outside the recorded scope—including additional pages, specialist integrations, unusual migrations, large content imports, advertising management and advertising spend—requires a separate written agreement or quote.

2. Initial payment and account

For fixed packages, the amount labelled “due today” is charged through WooCommerce using SumUp. Where checkout shows a setup fee and first month, both are included in today’s total. WooCommerce creates the order, customer account and subscription record. No work begins until the initial payment is confirmed and required information or access has been supplied.

Prices are shown in pounds sterling. WooCommerce currently adds no VAT at checkout. If the tax treatment changes, the amount shown by checkout before payment applies.

3. Rolling monthly service and renewals

The managed service is a rolling calendar-month payment with no minimum term unless a separate accepted quote expressly says otherwise. WooCommerce shows the exact first renewal date before payment and in the customer account.

Under the current SumUp and manual-renewal setup, SmartyX does not automatically charge a saved card for monthly renewals. The customer logs in and pays each renewal invoice from the account when due. Service may be paused or suspended while an invoice remains unpaid.

4. Cancellation and refunds

A customer may cancel the rolling monthly service before the next renewal to prevent future renewal invoices. Cancellation does not normally refund a service period already started or work already delivered.

Setup work is allocated and may begin after payment and onboarding. Any cancellation or refund entitlement is assessed against the work already performed and the customer’s statutory rights. Nothing in these terms excludes or limits rights that cannot lawfully be excluded. Where consumer cancellation rights apply and the customer asks SmartyX to begin during a cancellation period, the customer may have to pay a proportionate amount for work supplied before cancellation.

5. Customer responsibilities and timing

The customer must provide accurate business details, lawful content, brand assets, approvals and the access required for the agreed work. Access should be shared through secure invitations or temporary credentials, not by emailing permanent passwords.

An indicative build schedule starts only after payment, onboarding information and required access are complete. Delayed feedback, missing content, platform reviews or non-standard work can change the schedule. Search rankings, platform reinstatement, enquiries and sales are not guaranteed.

6. Revisions, support and monthly work

Included revisions and monthly work are the limits shown in the purchased package or accepted quote. Requests are consolidated so they can be completed efficiently. Work beyond those allowances is quoted separately.

Telephone support is staffed 10am–5pm on the published SmartyX number. This does not create a guaranteed response or resolution time unless a separate service agreement states one.

7. Website, domain and transfer

The customer retains ownership of its supplied content, branding and domain. SmartyX retains ownership of its pre-existing tools, reusable components and licences. On full payment of all sums due, the customer receives the rights to the bespoke website deliverables described in the package or quote, subject to third-party licence terms.

Managed hosting, maintenance and licensed components form part of the ongoing service. If the customer requests transfer away, outstanding invoices must be paid first. The existing £150 transfer and administration fee applies where a managed transfer is requested, unless a separate accepted agreement says otherwise. Third-party licence, hosting and compatibility costs after transfer are the customer’s responsibility.

8. SEO and advertising

SEO means the work expressly listed in the package; it does not guarantee a ranking, traffic level, enquiry or sale. Search engines and business-profile platforms control their own systems.

Paid-ad management is not included in a website fee unless expressly listed. Advertising spend is paid separately and is never included by implication. Platform approval and performance are not guaranteed.

9. Acceptable use and liability

The customer must not use the services for unlawful, infringing or misleading content. SmartyX may suspend affected services where reasonably necessary to protect customers, systems or legal compliance.

Liability is not excluded where it cannot lawfully be excluded. Subject to that, each party remains responsible for foreseeable loss caused by its breach; indirect or consequential business losses are excluded to the extent permitted by law. Any separate accepted agreement may contain service-specific limits.
